These Terms of Service (“Terms”) govern your access to and use of the Oriio website, iOS app, macOS app, AI features, account services, and related services. Oriio is operated by PtahX Inc (“Oriio,” “we,” “us,” or “our”).
These Terms may be updated as Oriio’s product, billing model, legal requirements, or support workflows change.
1. Acceptance
By accessing or using Oriio, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use Oriio.
If you use Oriio on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Eligibility
You must be at least 13 years old to use Oriio. If the law where you live requires a higher age for digital services or AI features, you must meet that higher age. If you are under the age of majority where you live, you may use Oriio only with permission from a parent or legal guardian. Apple’s App Store age rating describes content suitability and may differ from age, consent, account, or legal eligibility requirements.
Oriio is intended for global availability, but it may not be available in every country or region. You may use Oriio only where it is legally available and not restricted by applicable law, sanctions, export controls, Apple platform rules, or Oriio’s own availability decisions.
3. What Oriio does
Oriio is an AI planning workspace for Apple Calendar, Reminders, and related planning context. Oriio helps you bring schedule and task information together, see what needs attention, and use AI help grounded in your context.
Oriio is a productivity tool. It is not a substitute for your own judgment, professional advice, emergency services, or independent verification of important schedules, deadlines, reminders, travel, work obligations, health-related matters, or other time-sensitive commitments.
4. Accounts and authentication
Some features may require an account or Sign in with Apple. You agree to provide accurate account information and to keep your devices, Apple account, Oriio account, credentials, API keys, and app permissions secure.
You are responsible for activity that occurs through your account or authenticated device, except where caused by Oriio’s breach of these Terms or applicable law.
5. Permissions and Apple data
Oriio may ask for access to Apple Calendar, Reminders, Notifications, Location, Siri, AlarmKit, iCloud, CloudKit, WeatherKit, user-selected files, and other Apple platform services. You control those permissions through Apple system settings and Oriio settings where available.
If you grant access, Oriio may read, organize, display, search, create, edit, complete, delete, or otherwise update Calendar and Reminders data when you request an action or use an AI-assisted feature. You remain responsible for checking important changes before relying on them.
6. Your content and data
“Your Content” means information you provide to Oriio or authorize Oriio to access, including Calendar events, Reminders, prompts, messages, attachments, audio, images, feedback, preferences, and planning context.
You retain your rights in Your Content. You give Oriio a limited license to use, process, transmit, store, display, and modify Your Content only as needed to provide, secure, maintain, and improve Oriio, comply with law, and enforce these Terms.
You represent that you have the rights and permissions needed for Your Content and for any data you ask Oriio to process.
7. AI features
Oriio may use AI to summarize, search, organize, transcribe, classify, draft, answer questions, operate tools, and propose actions. AI output can be inaccurate, incomplete, delayed, or unsuitable for your situation.
You are responsible for checking AI output and any Calendar, Reminders, notification, alarm, or workspace changes before relying on them. Do not use Oriio as the sole source of truth for critical obligations.
AI features use Oriio-operated server infrastructure and OpenAI’s API. Your use of AI features may also be subject to OpenAI policies where applicable.
8. AI-assisted actions
AI-assisted actions should remain understandable and under your direction. You are responsible for confirming that actions match your intent.
If Oriio creates, updates, completes, deletes, reschedules, or otherwise modifies Calendar events, Reminders, notifications, alarms, or related records at your direction, you are responsible for the consequences of those changes except where caused by Oriio’s breach of these Terms or applicable law.
9. Acceptable use
You may not:
- Violate any law or third-party right.
- Access, use, or share another person’s data without authorization.
- Interfere with, disrupt, reverse engineer, overload, scrape, or bypass Oriio or related systems.
- Attempt to obtain unauthorized access to Oriio, accounts, devices, keys, tokens, models, prompts, tools, or infrastructure.
- Use Oriio to generate, plan, or facilitate harmful, fraudulent, abusive, deceptive, or illegal activity.
- Upload malware, exploit code, or content that infringes rights or violates privacy.
- Misrepresent AI output as independently verified fact when you know it is not.
- Use Oriio in safety-critical, emergency, or high-risk environments where failure could cause death, personal injury, or severe property or environmental damage.
10. Third-party services
Oriio depends on Apple platform services and may integrate with OpenAI, cloud infrastructure providers such as Amazon Web Services, analytics, diagnostics, hosting, storage, support, and other services needed to operate Oriio. Third-party services are governed by their own terms and privacy policies.
Oriio is not responsible for third-party services, data, content, outages, policy changes, or actions, except where required by law.
11. App Store, purchases, and subscriptions
Oriio is distributed through the Apple App Store. Downloads, in-app purchases, subscriptions, refunds, billing, and family sharing are handled by Apple under Apple’s terms.
Oriio uses Apple’s standard licensed application end user license agreement unless the App Store product page states otherwise. If these Terms conflict with mandatory Apple App Store terms for distribution, payment, refund, or device-level licensing, the Apple terms control for those issues.
Initial paid features, if offered, are processed through Apple App Store billing. Pricing, renewal, cancellation, refund, trial, and subscription terms will be disclosed in the app or App Store purchase flow.
12. Beta, preview, and unreleased features
Some Oriio features may be offered as beta, preview, experimental, or roadmap features. These features may change, break, disappear, or produce unexpected results. References to future areas such as MCP support, AlarmKit support, or additional calendar and task providers describe product direction only unless the feature is actually available in your version of Oriio.
13. Feedback
If you submit feedback, suggestions, ideas, ratings, bug reports, screenshots, or diagnostics, including through feedback@ptahx.ai, you grant Oriio a non-exclusive, worldwide, royalty-free license to use them to improve and operate Oriio without obligation to compensate you.
Do not submit confidential information through feedback unless the feedback flow specifically asks for it and you are comfortable sharing it.
14. Oriio intellectual property
Oriio, including its software, design, branding, website, documentation, models of interaction, and other materials, is owned by Oriio or its licensors and is protected by intellectual property laws.
Subject to these Terms, Oriio grants you a limited, revocable, non-exclusive, non-transferable license to use Oriio for your personal or internal business productivity purposes.
15. Suspension and termination
You may stop using Oriio at any time. We may suspend or terminate access if you violate these Terms, create risk for Oriio or others, fail to pay applicable fees, or if continued access would violate law or platform requirements.
After termination, provisions that by their nature should survive will survive, including ownership, disclaimers, limitation of liability, dispute terms, and payment obligations.
16. Disclaimers
Oriio is provided “as is” and “as available.” To the maximum extent permitted by law, Oriio disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
Oriio does not guarantee that the service will be uninterrupted, secure, error-free, compatible with every device or Apple service state, or that AI output will be accurate or complete.
17. Limitation of liability
To the maximum extent permitted by law, Oriio and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or productivity.
To the maximum extent permitted by law, Oriio’s total liability for any claim arising out of or relating to Oriio or these Terms will not exceed the greater of (a) the amount you paid to Oriio for the service giving rise to the claim in the 12 months before the claim, or (b) USD $100.
Some jurisdictions do not allow certain limitations, so some of the above limits may not apply to you.
18. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Oriio from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your misuse of Oriio, Your Content, your violation of these Terms, or your violation of law or third-party rights.
19. Changes to Oriio or these Terms
We may modify Oriio or these Terms from time to time. If changes are material, we will provide notice as required by law. The “Last updated” date shows when this version took effect.
Your continued use of Oriio after updated Terms take effect means you accept the updated Terms.
20. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.
Nothing in these Terms limits any rights you may have under mandatory consumer protection laws in your country or state of residence.
Before filing a formal claim, you agree to contact support@ptahx.ai so we can try to resolve the dispute informally.
